These Terms of Service govern your use of the website located at http://serveyou.ai/ and any related services provided by serveyou.ai LLC, including but not limited to our platform for AI-powered application development, code generation, AI agent creation and deployment, voice and SMS communications, chat interfaces, content publishing, authentication portal creation, and all associated tools and features (collectively, the "Services" or "Platform").

By accessing http://serveyou.ai/, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing this website or using any other services provided by serveyou.ai LLC.

Eligibility: You represent and warrant that you are at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater) and a resident of the United States. During account registration, you will be required to confirm your eligibility, including that you are a United States resident aged 18 or older. If you are using the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms. The Services are intended for use by residents of the United States only. If you are located outside the United States, you should not use the Services.

We, serveyou.ai LLC, reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page and notify you in accordance with the following provisions:

Non-material changes (such as clarifications, formatting, or minor updates that do not alter your rights or obligations) take effect immediately upon publication.
Material changes (such as changes to data processing, service scope, or Platform User responsibilities) take effect thirty (30) days after we provide notice to you via email, in-app notification, or prominent posting on our website.
Changes to indemnification, arbitration, limitation of liability, or assumption of risk provisions require your affirmative acceptance (such as a click-through confirmation) before they become effective. If you do not accept such changes, you may continue using the Services under the prior version of the affected provisions until the end of your current billing period, after which your continued use of the Services will constitute acceptance.

These Terms of Service were last updated on April 2, 2026.

Definitions

For the purposes of these Terms of Service:

"Platform User" or "you" refers to any individual or entity that registers for an account and uses the Services.
"End-User" refers to any individual who interacts with an application, website, AI agent, or other digital product created by a Platform User using the Services.
"User Content" refers to materials created by or generated on behalf of a Platform User through the Services that constitute the Platform User's output or deliverables, including but not limited to code (whether manually authored or AI-generated), application logic, web pages, authentication portals, published content, text, images, video, audio, and data uploaded or created by the Platform User. For the avoidance of doubt, User Content does not include Platform IP (defined below).
"Platform IP" refers to all intellectual property owned by or licensed to serveyou.ai LLC that constitutes the Platform itself and the tools used to deliver the Services, including but not limited to: AI agent configurations, agent templates, system prompts (whether authored by serveyou.ai LLC or generated through the Platform's agent-building tools), workflow definitions and orchestration logic, prompt engineering patterns, Starter Templates (defined below), the Platform's internal architecture, source code, file structures, processing pipelines, design patterns, proprietary AI orchestration logic, internal tooling, and any other materials developed or provided by serveyou.ai LLC to operate the Platform. Platform IP remains the exclusive property of serveyou.ai LLC regardless of whether a Platform User interacted with, selected, configured, or customized any Platform IP through the Platform's user-facing tools.
"Starter Templates" refers to the library of starter applications, reference applications, boilerplate code, code templates, application scaffolding, and example implementations developed and maintained by serveyou.ai LLC and made available to Platform Users through the Platform, whether accessed directly by the Platform User or referenced by AI agents as context when generating code.
"AI Outputs" refers to any content, code, text, communications, or other materials generated by AI features of the Platform as deliverables for the Platform User, whether initiated by the Platform User directly or by an AI agent acting on the Platform User's behalf. AI Outputs are treated as User Content. For the avoidance of doubt, AI Outputs does not include the AI agents themselves, their configurations, or the Platform IP used to generate such outputs.
"Deployed Applications" refers to any applications, websites, AI agents, APIs, authentication portals, communication workflows, or other digital products that a Platform User builds, configures, and makes accessible to End-Users or the public through the Platform.
"End-User Data" refers to any data, including personal information, collected from or about End-Users through Deployed Applications.

Limitations of Use

By using this website, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on this website;
remove any copyright or other proprietary notations from any materials and software on this website;
transfer the materials to another person or "mirror" the materials on any other server;
knowingly or negligently use this website or any of its associated services in a way that abuses or disrupts our networks or any other service serveyou.ai LLC provides;
use this website or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
use this website or its associated services in violation of any applicable laws or regulations;
use this website in conjunction with sending unauthorized advertising or spam;
harvest, collect, or gather user data without the user's consent; or
use this website or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

Intellectual Property

The intellectual property in the materials contained in this website are owned by or licensed to serveyou.ai LLC and are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms of Service, and may be terminated by serveyou.ai LLC at any time.

User Content — Ownership, License, and Responsibilities

You retain your intellectual property ownership rights over User Content you submit to us for use on our platform, to the extent such rights exist under applicable law. We will never claim ownership of your User Content, but we do require a license from you in order to use it.

When you use our website or its associated services to post, upload, share, deploy, or otherwise transmit User Content, you grant to us a non-exclusive, royalty-free, worldwide license to use, host, run, copy, publicly display, and distribute your User Content solely as necessary to provide, maintain, and improve the Services. This license is transferable solely in connection with a sale or transfer of all or substantially all of serveyou.ai LLC's assets or business.

The license you grant us can be terminated at any time by deleting your User Content or account. However, to the extent that we (or our partners) have used your User Content in connection with commercial or sponsored content, the license will continue until the relevant commercial or post has been discontinued by us.

You give us permission to use your username and other identifying information associated with your account in a manner that is consistent with your privacy preferences and our Privacy Policy.

AI-Generated Code and Outputs — Ownership and Limitations

When you use AI-powered features of the Platform to generate code, content, communications, or other deliverables ("AI Outputs"), the following terms apply. For the avoidance of doubt, AI Outputs means the deliverables generated for you (such as code, applications, text, and communications) and does not include the AI agents, agent configurations, system prompts, workflow definitions, or other Platform IP used to generate such deliverables.

Ownership: To the extent permitted by applicable law, AI Outputs generated for you through the Platform are treated as your User Content and are subject to the same license terms described above. However, you acknowledge and agree that:

Under current United States copyright law, purely AI-generated works (i.e., works produced without sufficient human creative contribution) may not be eligible for copyright protection. serveyou.ai LLC makes no representation or warranty that AI Outputs will qualify for copyright or other intellectual property protection in any jurisdiction.
Identical or substantially similar AI Outputs may be generated for other users of the Platform based on their independent inputs or use of the Services. serveyou.ai LLC does not guarantee the uniqueness or exclusivity of any AI Output.
AI Outputs may inadvertently incorporate patterns, structures, logic, or expressions derived from the AI model's training data, which may include open-source code subject to various licenses (including copyleft licenses such as GPL, LGPL, or AGPL), or proprietary code. You are solely responsible for reviewing all AI Outputs for potential intellectual property issues, open-source license compliance obligations, and third-party rights before using, deploying, distributing, or reselling such outputs.

No Warranty on AI Outputs: AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SERVEYOU.AI LLC DOES NOT WARRANT THAT AI OUTPUTS WILL BE ACCURATE, COMPLETE, ERROR-FREE, SECURE, NON-INFRINGING, FIT FOR ANY PARTICULAR PURPOSE, OR FREE OF BUGS, VULNERABILITIES, MALICIOUS CODE, BIAS, HALLUCINATIONS, OR OTHER DEFECTS. YOU ACKNOWLEDGE THAT AI MODELS MAY PRODUCE OUTPUTS THAT ARE FACTUALLY INCORRECT, LOGICALLY FLAWED, LEGALLY NON-COMPLIANT, CONTAIN SECURITY VULNERABILITIES, OR ARE OTHERWISE UNSUITABLE FOR YOUR INTENDED USE. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF AI OUTPUTS.

Your Responsibility: You are solely and exclusively responsible for reviewing, testing, validating, debugging, and ensuring the correctness, security, legality, and fitness for purpose of all AI Outputs before deploying, publishing, distributing, reselling, or otherwise using them, whether in production, in communications with End-Users, or in any other context. This responsibility applies regardless of whether the AI Output was generated through a single interaction, through iterative refinement, or through autonomous AI agent actions. You acknowledge that you select the AI models used to generate AI Outputs, that you have full control over reviewing and modifying AI-generated code before deployment, and that serveyou.ai LLC does not have the ability to review, audit, or validate your AI Outputs or Deployed Applications.

Starter Templates and Template-Derived Code

serveyou.ai LLC develops and maintains a library of Starter Templates that Platform Users may use as a foundation for building applications, and that AI agents may reference as context when generating code. The following terms apply to all use of Starter Templates:

Template Ownership: All Starter Templates are and remain the exclusive property of serveyou.ai LLC. When you use a Starter Template — whether by loading it directly, modifying it, or using it as a reference through AI-assisted code generation — you receive a non-exclusive, non-transferable, revocable license to use the Starter Template solely in connection with your use of the Platform and for the purpose of creating your own User Content. This license does not transfer any ownership interest in the Starter Template to you.

Your Modifications: Code you produce by modifying, extending, or building upon a Starter Template constitutes your User Content (subject to the same terms, limitations, and disclaimers that apply to all User Content and AI Outputs). You own your modifications and additions, but not the underlying Starter Template itself.

serveyou.ai LLC's Continued Rights: Your use of a Starter Template does not restrict serveyou.ai LLC's right to continue offering, licensing, modifying, or distributing that Starter Template (or any substantially similar template) to any other Platform User or third party. The fact that your User Content may share structural patterns, architecture, or code patterns with a Starter Template does not create any exclusivity right or ownership claim over the Starter Template. serveyou.ai LLC will not distribute your specific User Content (i.e., your particular modifications and customizations) to other users without your consent, but retains full rights to the underlying template from which your User Content was derived.

AI-Referenced Templates: When AI agents reference Starter Templates as context for generating code, the generated code may reflect the structure, patterns, and architecture of the referenced templates. Such structural similarity does not transfer ownership of the Starter Template or any portion thereof to the Platform User. The AI Output (the generated code) is your User Content; the Starter Template that informed its generation remains Platform IP.

User Content — Resale and Distribution

The resale, sublicensing, distribution, or other commercialization of User Content (including AI Outputs) created using the Platform is permitted only for Platform Users who hold an active Agency Account and have executed a separate Agency Agreement with serveyou.ai LLC. To initiate the Agency Account application process, contact customerservice@serveyou.ai.

If you hold an active Agency Account and have executed the required Agency Agreement, the following terms apply to your resale and distribution activities, in addition to any terms set forth in the Agency Agreement:

You are solely responsible for ensuring that any User Content you resell or distribute does not infringe the intellectual property rights of any third party, does not violate any applicable law, and does not contain security vulnerabilities, malicious code, or other defects.
You are solely responsible for providing support, warranties (if any), and remedies to your customers or End-Users in connection with any User Content you resell or distribute.
serveyou.ai LLC is not a party to any transaction between you and your customers or End-Users and has no obligation to any person who obtains User Content from or through you.
You agree to indemnify, defend, and hold harmless serveyou.ai LLC and its affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to the resale, distribution, or commercialization of your User Content, including but not limited to claims of intellectual property infringement, product liability, negligence, breach of warranty, data breach, or regulatory non-compliance.
In the event of any conflict between these Terms of Service and the Agency Agreement with respect to resale and distribution, the Agency Agreement shall control.

Any resale, sublicensing, distribution, or commercialization of User Content by a Platform User who does not hold an active Agency Account or has not executed the required Agency Agreement constitutes a material breach of these Terms of Service and may result in immediate suspension or termination of the Platform User's account.

Data Export and Portability

You may export your User Content at any time through the data export features provided in your account settings, and such other export mechanisms as we may make available from time to time. User Content — including code, applications, web pages, published content, and application data generated through the Platform — is your data and is subject to export. Data access requests for personal information held by serveyou.ai LLC (such as your user-generated text inputs to AI features) may be submitted to customerservice@serveyou.ai. Platform IP (as defined in the Definitions section) — including AI agent configurations, system prompts, workflow definitions, and all other proprietary materials described therein — is serveyou.ai LLC's confidential property and is not User Content or subject to data export or access requests, regardless of whether you interacted with, selected, or customized any Platform IP through the Platform's tools. We recommend exporting your data before deleting your account or any content, as deletion may be irreversible. You acknowledge that exported data may contain references, dependencies, or integrations that are specific to the serveyou.ai platform and may not function outside of the platform without modification.

AI Agents — Autonomous Actions and Liability

The Platform enables you to create, configure, and deploy AI agents that may autonomously perform actions on your behalf, including but not limited to: generating and deploying code; sending SMS, voice, email, or chat communications to End-Users; publishing web content; creating and modifying authentication portals and user interfaces; executing workflows and automations; processing data; interacting with third-party services and APIs; and performing recursive or looping operations.

YOU ACKNOWLEDGE AND AGREE THAT:

You are the principal. All actions taken by AI agents you create, configure, or deploy are deemed to be actions taken by you. You are fully and exclusively liable for all consequences of AI agent actions, whether intended or unintended, foreseeable or unforeseeable, including but not limited to communications sent, content published, data processed, code deployed, transactions initiated, and any harm to End-Users or third parties resulting therefrom.
AI agents may take unintended actions. AI models are probabilistic and may produce unexpected, incorrect, or harmful outputs. AI agents operating in recursive or looping modes may amplify errors, send unintended communications, publish incorrect content, or take other actions that you did not anticipate. serveyou.ai LLC does not guarantee that AI agents will behave as intended, will stay within configured parameters, or will not produce harmful results.
You are responsible for monitoring and constraints. You are solely responsible for configuring appropriate guardrails, rate limits, content filters, approval workflows, and monitoring systems for your AI agents. You must regularly review AI agent activity logs and outputs. serveyou.ai LLC provides tools and features to assist with monitoring and constraints, but the implementation and adequacy of such controls is your sole responsibility.
Communications compliance. If your AI agents send SMS, voice, email, chat, or other communications to End-Users or third parties, you are solely responsible for ensuring compliance with all applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, state telemarketing laws, carrier requirements, and CTIA guidelines. This includes obtaining all required consents, providing opt-out mechanisms, maintaining do-not-call lists, properly registering all SMS traffic campaigns under the A2P 10DLC framework (or any successor registration system required by carriers) before deploying SMS agents, and ensuring message content complies with applicable regulations. AI-initiated communications are your communications, and you bear all legal responsibility for them. You must not deploy SMS or voice agents until your A2P campaign registration has been approved by the applicable carriers.
No serveyou.ai LLC liability for agent actions. SERVEYOU.AI LLC SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, CLAIMS, OR LIABILITIES ARISING FROM OR RELATED TO THE ACTIONS, OUTPUTS, OR BEHAVIOR OF AI AGENTS YOU CREATE, CONFIGURE, OR DEPLOY, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM INACCURATE OR HARMFUL COMMUNICATIONS, UNAUTHORIZED DATA PROCESSING, SECURITY VULNERABILITIES IN GENERATED CODE, REGULATORY VIOLATIONS, OR ANY OTHER CONSEQUENCE OF AI AGENT OPERATION.

Deployed Applications — Security, Compliance, and Liability

The Platform enables you to build and deploy applications, websites, AI agents, APIs, authentication portals, communication workflows, and other digital products that may be accessed by End-Users or the public. With respect to all Deployed Applications, you acknowledge and agree to the following:

Security Responsibility

You are solely responsible for the security of all Deployed Applications, including but not limited to: implementing appropriate authentication and authorization mechanisms; protecting against common vulnerabilities (including but not limited to those identified in the OWASP Top 10); securing any APIs you create or expose; encrypting sensitive data in transit and at rest; implementing appropriate access controls for End-User Data; conducting security testing and code review prior to deployment; and promptly patching or remediating any vulnerabilities discovered after deployment.

serveyou.ai LLC provides security tools, APIs, and features designed to assist you in building secure applications. However, the availability of such tools does not shift responsibility for application security from you to serveyou.ai LLC. You acknowledge that the mere use of security tools provided by the Platform does not guarantee the security of your Deployed Applications and does not constitute a security audit, certification, or endorsement by serveyou.ai LLC.

Compliance Responsibility

You are solely responsible for ensuring that all Deployed Applications comply with all applicable laws, regulations, and industry standards, including but not limited to: data protection and privacy laws (including CCPA/CPRA and applicable state privacy laws); accessibility requirements (including ADA and WCAG); consumer protection laws; telecommunications regulations; financial services regulations; healthcare regulations (including HIPAA); AI transparency and disclosure requirements (including California AB 853 and any applicable state or federal AI laws); export control laws; and any other laws applicable to your specific use case, industry, or jurisdiction.

serveyou.ai LLC does not review, audit, or certify the compliance of Deployed Applications and makes no representation that the Platform or any tools provided therein will ensure compliance with any particular law or regulation.

End-User Data

You are the data controller (or, where applicable, the "business" under CCPA) for all End-User Data collected through your Deployed Applications. You are solely responsible for: providing legally compliant privacy notices to End-Users; obtaining all required consents; responding to data subject access, deletion, and correction requests; maintaining records of processing activities; reporting data breaches to the appropriate authorities and affected individuals as required by law; and all other obligations of a data controller under applicable law.

serveyou.ai LLC processes End-User Data solely as a data processor on your behalf and in accordance with our Data Processing Agreement. serveyou.ai LLC shall not be liable for any failure by you to comply with your obligations as data controller.

Resource Usage and Abuse

You are responsible for ensuring that your Deployed Applications, including AI agents operating in recursive or looping modes, do not consume excessive platform resources, degrade the performance of the Platform for other users, or engage in abusive patterns of usage. We reserve the right to throttle, suspend, or terminate any Deployed Application or AI agent that, in our sole discretion, is consuming excessive resources, engaging in abusive behavior, or posing a risk to the stability or security of the Platform, with or without prior notice.

Right to Inspect and Remove

While serveyou.ai LLC does not routinely review, audit, or validate Deployed Applications, serveyou.ai LLC reserves the right (but not the obligation) to scan, inspect, audit, or take down any Deployed Application, AI agent, or User Content at any time if serveyou.ai LLC suspects, in its sole discretion, that the Deployed Application or User Content: (a) contains malicious code, malware, or security vulnerabilities that pose a risk to the Platform or its users; (b) is being used for cryptocurrency mining, distributed denial-of-service attacks, or other abusive activities; (c) violates the Terms of Service, Acceptable Use Policy, or applicable law; (d) infringes the intellectual property rights of any third party; or (e) poses a risk to the security, stability, or reputation of the Platform. This right does not create any duty to monitor, and the exercise or non-exercise of this right does not constitute an endorsement, certification, or warranty of any Deployed Application.

Backups and Data Durability

The Platform provides automated daily backups and the ability for Platform Users to create and restore from manual backup snapshots. These backup features are provided on a commercially reasonable, best-effort basis and are intended as a convenience to help you recover from accidental data loss or configuration errors.

SERVEYOU.AI LLC DOES NOT WARRANT OR GUARANTEE THAT BACKUPS WILL BE COMPLETE, ACCURATE, UNCORRUPTED, OR AVAILABLE AT ANY PARTICULAR TIME. BACKUPS MAY FAIL, BECOME CORRUPTED, BE INCOMPLETE, OR BE UNAVAILABLE DUE TO INFRASTRUCTURE ISSUES, PLATFORM UPDATES, STORAGE LIMITATIONS, OR OTHER FACTORS. serveyou.ai LLC shall not be liable for any data loss, corruption, or inability to restore from a backup, regardless of the cause.

You are solely responsible for: (a) verifying that backups of your critical data are complete and restorable; (b) maintaining your own independent, external backups of any data that is important to your business or operations; and (c) testing backup restoration periodically to confirm recoverability. The availability of Platform backup features does not relieve you of the responsibility to maintain your own independent backup strategy for critical data.

Data Processing Agreement

To the extent that serveyou.ai LLC processes personal information on your behalf as a data processor (or service provider under CCPA), the terms of our Data Processing Agreement ("DPA"), which is incorporated herein by reference, shall apply. The DPA is available at https://serveyou.ai/dpa and governs the processing of personal data by serveyou.ai LLC on your behalf, including with respect to End-User Data. In the event of any conflict between these Terms of Service and the DPA with respect to data processing matters, the DPA shall control.

Protected Health Information (HIPAA)

The Platform is not HIPAA-compliant and does not support HIPAA-regulated workloads as a generally available feature. You must not use the Platform to collect, store, process, or transmit Protected Health Information ("PHI") as defined by the Health Insurance Portability and Accountability Act of 1996 ("HIPAA") and its implementing regulations unless you have entered into a separately negotiated enterprise agreement with serveyou.ai LLC that includes: (a) a fully executed Business Associate Agreement ("BAA"); and (b) a written scope agreement that specifically defines the technical safeguards, permitted uses, and platform configurations required for PHI processing.

HIPAA-compliant configurations are not broadly available and are offered only on a case-by-case basis to qualifying enterprise customers at serveyou.ai LLC's sole discretion. To inquire about HIPAA-compliant enterprise configurations, contact customerservice@serveyou.ai.

Any use of the Platform to process PHI without a fully executed enterprise agreement, BAA, and scope agreement constitutes a material breach of these Terms of Service. serveyou.ai LLC disclaims all liability for any HIPAA violations, data breaches, or regulatory penalties arising from your processing of PHI on the Platform without the required agreements in place.

Payment Processing and Stripe Connect

We use Stripe Connect to facilitate payment processing on our platform. By connecting your Stripe account via OAuth or using our payment services, you agree to be bound by the Stripe Connected Account Agreement (available at https://stripe.com/legal/connect-account), as may be modified by Stripe from time to time, and any other applicable Stripe terms.

You are solely responsible for all activity initiated through your connected Stripe account, including but not limited to processing payments, issuing refunds, handling disputes, and complying with all applicable laws, regulations, and Stripe's requirements.

Liability for Losses

You are liable for all losses incurred in connection with your use of the payment services, including negative balances, disputes, chargebacks, refunds, fines, penalties, and any other liabilities. If we incur any losses, reserves, or deductions from Stripe due to your activity or negative balances on your connected account, you agree to immediately reimburse us for the full amount.

You agree to indemnify, defend, and hold harmless serveyou.ai LLC, its affiliates, officers, directors, employees, agents, and suppliers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the payment services; (b) your violation of these Terms or the Stripe agreements; (c) any transactions processed through your connected account; (d) any disputes, chargebacks, or negative balances on your account; or (e) any fraud, negligence, or misconduct by you or your users.

Onboarding and Compliance

You represent and warrant that your business is not engaged in any restricted business category or selling restricted products as defined by Stripe (see https://stripe.com/restricted-businesses for more information). You agree to provide accurate, complete, and up-to-date information during onboarding and throughout your use of the services, and to comply with all verification requirements.

Risk Underwriting

You are responsible for maintaining the financial health of your business and managing risk factors that could lead to losses or defaults. We may review your financial information and risk profile to determine eligibility for our services.

Risk Monitoring and Detection

You must implement and maintain systems to monitor for risk, fraud, and suspicious activity in your business. You agree to cooperate with us and Stripe in any investigations and to provide requested information promptly.

Risk Actions to Mitigate Losses

We may, at our or Stripe's discretion, take actions to mitigate risks and losses, including but not limited to holding funds, suspending payouts, limiting account functionality, or terminating your account, with or without notice. You agree to such actions and waive any claims against us related thereto.

Seller Communication

We will notify you if your account is restricted, suspended, or otherwise actioned due to risk, fraud prevention, or mitigation efforts.

Seller Remediation

If your account is actioned, you agree to promptly provide any information or documentation required to remediate and restore your account to good standing.

Support for Payment and Risk Inquiries

You are responsible for providing support to your customers regarding payments and disputes. We may assist with risk management inquiries, but you must educate yourself and your team on best practices for fraud prevention and risk management.

By connecting your Stripe account or using our payment services, you acknowledge that you have reviewed these responsibilities and agree to them.

Telecommunications, AI, and Platform-Specific Indemnity

(a) your use of telecommunications features (e.g., SMS/voice via Twilio), including violations of TCPA, CAN-SPAM, state telemarketing laws, or carrier rules;
(b) AI-generated content and AI Outputs, including hallucinations, biases, inaccuracies, security vulnerabilities, or non-compliant messages (e.g., unsolicited opt-ins, discriminatory prompts under CA Unruh Act, or AI transparency violations under AB 853);
(c) misuse of subaccounts (parent account remains liable per Twilio TOS; you waive claims against us for Twilio limits);
(d) actions taken by AI agents you create, configure, or deploy, including unintended communications, data processing, content publication, code deployment, or any other autonomous or semi-autonomous actions;
(e) security vulnerabilities, data breaches, or other security incidents in Deployed Applications you build, deploy, or operate using the Platform, regardless of whether such applications include AI-generated code;
(f) any failure by you to comply with applicable data protection laws, AI regulations, consumer protection laws, or other regulations in connection with your use of the Services or your Deployed Applications;
(g) the resale, distribution, sublicensing, or commercialization of User Content or AI Outputs, whether or not conducted under an Agency Agreement;
(h) any claims by End-Users or third parties arising from their use of or interaction with your Deployed Applications, AI agents, or User Content; and
(i) any intellectual property infringement claims arising from AI Outputs you use, deploy, distribute, or resell, including claims related to open-source license violations.

These indemnification obligations are conspicuous and relate to high-risk features of the Platform. Upstream disclaimers apply to third-party integrations like Twilio, xAI, Anthropic, Google (Gemini), and any Third-Party Integrations connected by the Platform User. These indemnification obligations shall survive termination of your account and these Terms of Service.

Reciprocal Indemnification by serveyou.ai LLC

serveyou.ai LLC will indemnify, defend, and hold harmless you against third-party claims to the extent arising directly from: (a) serveyou.ai LLC's gross negligence or willful misconduct in operating the Platform infrastructure; or (b) serveyou.ai LLC's material breach of its data processor obligations under the Data Processing Agreement. This reciprocal indemnification is subject to the Limitation of Liability provisions set forth in these Terms and does not apply to claims arising from your use of the Services, your User Content, your AI Outputs, your Deployed Applications, or your violation of these Terms.

SMS and Voice Safeguards

Rate Limits and Spending Caps: serveyou.ai LLC reserves the right to implement and enforce hard rate limits, message caps, spending caps, and other restrictions on SMS, voice, and other communication egress through the Platform, at any time and without prior notice. These limits are designed to prevent catastrophic runaway AI agent loops, protect against carrier penalties, and maintain the stability of the Platform's telecommunications infrastructure. You acknowledge that these limits are non-negotiable and may restrict the volume or frequency of communications sent by your AI agents or Deployed Applications. serveyou.ai LLC shall not be liable for any damages, lost business, or missed communications resulting from the enforcement of rate limits or spending caps.

Carrier Fines and Penalty Pass-Through: If serveyou.ai LLC incurs any fines, penalties, surcharges, fees, or other costs imposed by mobile carriers, telecommunications providers (including Twilio), or regulatory authorities as a result of your use of the Platform's SMS or voice features — including but not limited to fines for A2P 10DLC violations, carrier-imposed surcharges for non-compliant traffic, or penalties for excessive opt-out rates — you agree that serveyou.ai LLC may charge such amounts directly to the payment method associated with your account. You authorize serveyou.ai LLC to debit your payment method on file for any such amounts without additional notice, and you agree to reimburse serveyou.ai LLC immediately for any amounts that cannot be collected through your payment method. These pass-through charges are in addition to, and not in lieu of, any indemnification obligations under the Telecommunications, AI, and Platform-Specific Indemnity section above.

A2P 10DLC Registration Required: You must complete all required Application-to-Person (A2P) 10-Digit Long Code (10DLC) campaign registration and receive carrier approval before deploying any SMS agents or automated SMS communications through the Platform. Deploying SMS communications without approved A2P registration constitutes a material breach of these Terms and may result in immediate suspension of your account's SMS capabilities. serveyou.ai LLC is not responsible for delays in carrier approval of your A2P registration.

SMS Messaging Terms of Service

These SMS Messaging Terms apply to your participation in serveyou.ai LLC's SMS campaigns, including marketing promotions, service alerts, and notifications sent via our short code or other messaging channels. By opting in, you agree to these terms and our Privacy Policy (available at https://serveyou.ai/privacy).

Program Description

serveyou.ai SMS campaigns provide subscribers with updates, promotional offers, abandoned cart reminders, and other relevant notifications related to our services. Messages may include text about products, events, or tips tailored to your interests.

Opt-In Requirements

To subscribe, you must provide express written consent, such as by entering your mobile number on our website and checking the opt-in box, or by texting a keyword (e.g., "JOIN") to our short code. Consent is not a condition of purchase. We will send a confirmation message upon opt-in. You must be 18 years or older to subscribe.

Message Frequency and Costs

Marketing and promotional messages will not exceed 4 messages per month. Service communications, including interactions with AI agents and platform notifications, may vary in frequency based on your use of platform features and your configured settings. Message and data rates may apply as charged by your mobile carrier. Check your plan for details. serveyou.ai LLC is not responsible for any fees or charges incurred from receiving our messages.

Opt-Out Instructions

To opt out of marketing messages, reply "STOP" to any marketing message from us. To opt out of all SMS communications, including AI agent service messages, reply "STOP" to any message or adjust your preferences in your account settings. You will receive a confirmation of your opt-out. Opting out of SMS does not affect other communications (e.g., email) unless you separately unsubscribe.

Help and Support

For help, reply "HELP" to any message or contact us at customerservice@serveyou.ai. We provide support during business hours (Monday-Friday, 9 AM-5 PM PST).

Privacy and Data Use

Your mobile number and related data are handled in accordance with our Privacy Policy, which explains how we collect, use, and protect your information. We do not share your mobile number with third parties for their marketing purposes, but we use providers like Twilio to deliver messages.

Limitation of Liability

serveyou.ai LLC is not liable for any delays, failures, or errors in message delivery, or for any damages arising from your use of the SMS service, including but not limited to indirect, incidental, or consequential damages. We provide the service "as is" without warranties.

Changes to SMS Terms

We may update these SMS terms at any time. Continued participation after changes constitutes acceptance. If changes are material, we will notify you via SMS or our website.

Compliance

These terms comply with TCPA, CTIA guidelines, and carrier requirements. Carriers are not liable for delayed or undelivered messages.

Disclaimer of Warranties

OUR WEBSITE, THE PLATFORM, THE SERVICES, AND ALL MATERIALS, FEATURES, AND TOOLS PROVIDED THEREIN (INCLUDING AI FEATURES, CODE GENERATION, AI AGENTS, AND ALL AI OUTPUTS) ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVEYOU.AI LLC MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AND HEREBY DISCLAIMS AND NEGATES ALL OTHER WARRANTIES INCLUDING, WITHOUT LIMITATION:

YOUR USE OF OR INABILITY TO USE THE SERVICES;
ANY AI OUTPUTS, INCLUDING INACCURATE, INCOMPLETE, BIASED, OR HARMFUL OUTPUTS;
ANY ACTIONS TAKEN BY AI AGENTS YOU CREATE, CONFIGURE, OR DEPLOY;
ANY SECURITY VULNERABILITIES, DATA BREACHES, OR OTHER SECURITY INCIDENTS IN DEPLOYED APPLICATIONS;
ANY COMMUNICATIONS SENT BY AI AGENTS OR THROUGH THE PLATFORM ON YOUR BEHALF;
ANY INTELLECTUAL PROPERTY INFRINGEMENT CLAIMS RELATED TO AI OUTPUTS;
ANY REGULATORY NON-COMPLIANCE OF YOUR DEPLOYED APPLICATIONS;
ANY THIRD-PARTY CLAIMS ARISING FROM YOUR END-USERS' USE OF DEPLOYED APPLICATIONS; OR
ANY OTHER MATTER RELATING TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF SERVEYOU.AI LLC UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNTS PAID BY YOU TO SERVEYOU.AI LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (II) ONE HUNDRED DOLLARS ($100).

THE LIMITATIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU IN FULL. IN SUCH CASES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

NOTWITHSTANDING THE FOREGOING, NOTHING IN THESE TERMS SHALL LIMIT SERVEYOU.AI LLC'S LIABILITY FOR DAMAGES ARISING FROM SERVEYOU.AI LLC'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR FOR SERVEYOU.AI LLC'S MATERIAL BREACH OF ITS DATA PROCESSOR OBLIGATIONS UNDER THE DATA PROCESSING AGREEMENT.

Assumption of Risk

You expressly acknowledge and assume all risks associated with:

The use of AI-powered features to generate code, content, configurations, and communications, where you select the AI models, control the inputs, and are responsible for reviewing all outputs;
The deployment of AI-generated code in production environments, where you have full control over reviewing, testing, modifying, and approving all code before deployment;
The operation of autonomous or semi-autonomous AI agents that may take actions on your behalf, where you configure the agent parameters, guardrails, and monitoring;
The collection and processing of End-User Data through Deployed Applications that you build, configure, and control;
The resale, distribution, or commercialization of User Content and AI Outputs;
The publication of web content, authentication portals, and other publicly accessible digital products through the Platform; and
Any interactions between AI agents and End-Users, including voice, SMS, chat, and other communications.

You acknowledge these risks and agree that you have independently assessed them and determined that they are acceptable for your use case. You acknowledge that serveyou.ai LLC provides tools and infrastructure but does not have the ability to review, audit, or validate the code, configurations, AI outputs, or Deployed Applications that you create, modify, or deploy, and that the nature of AI technology makes it impractical for any platform provider to warrant the outputs of AI models. You agree that serveyou.ai LLC shall not be liable for damages arising from the materialization of any of these risks, except to the extent caused by serveyou.ai LLC's gross negligence, willful misconduct, or material breach of these Terms.

Accuracy of Materials and AI Outputs

The materials appearing on our website are not comprehensive and are for general information purposes only. serveyou.ai LLC does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on this website, or otherwise relating to such materials or on any resources linked to this website.

AI Outputs, including code, content, and communications generated through the Platform, are generated by third-party AI models selected by the Platform User and are provided without any guarantee of accuracy, completeness, correctness, security, or fitness for any purpose. AI models are known to produce "hallucinations" (factually incorrect or fabricated information), generate code with security vulnerabilities, produce biased or discriminatory content, and make errors of logic or reasoning. You must independently verify, review, test, and validate all AI Outputs before any use, deployment, distribution, or reliance thereon.

If you believe that content hosted on or through the Platform infringes your copyright, you may submit a written notification to our designated copyright agent containing the following information:

A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
Identification of the copyrighted work claimed to have been infringed;
Identification of the material that is claimed to be infringing and information reasonably sufficient to permit serveyou.ai LLC to locate the material (e.g., URL or description);
Your contact information, including name, address, telephone number, and email address;
A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
A statement, made under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or are authorized to act on behalf of the copyright owner.

Counter-Notice

Repeat Infringers

serveyou.ai LLC will, in appropriate circumstances, terminate the accounts of Platform Users who are repeat infringers of copyright. serveyou.ai LLC reserves the right to determine, in its sole discretion, whether a Platform User is a repeat infringer.

Right to Terminate

We may suspend or terminate your right to use our website and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service.

Effect of Termination

Upon termination or expiration of your account for any reason:

All Deployed Applications, AI agents, and active workflows will be immediately suspended and deactivated. AI agents will cease all autonomous operations, including sending communications, processing data, and executing workflows.
You will have a period of thirty (30) days from the date of termination notice to export your User Content and End-User Data using the data export features provided in your account settings. In the case of termination for cause, this export period shall be not less than seven (7) days. Exception: if the cause for termination involves illegal activity, fraud, imminent harm to others, or active security threats, serveyou.ai LLC reserves the right to immediately suspend access to the account while preserving the data; in such cases, serveyou.ai LLC will work with you to arrange data export within a reasonable timeframe, subject to any legal holds or law enforcement requirements.
If you voluntarily delete your account, all User Content, End-User Data, and associated data will be deleted immediately upon your confirmation, and this action is irreversible. You are responsible for exporting any data you wish to retain before initiating account deletion.
End-User Data will be retained for the applicable export window period described above, after which it will be permanently deleted or anonymized. serveyou.ai LLC may, at its discretion, direct End-User inquiries regarding their data to your last known contact information, but has no obligation to respond to data subject requests on behalf of a terminated Platform User.
serveyou.ai LLC may retain security logs, access logs, and usage records (which do not include the substantive content of User Content or End-User Data) for a period of up to twelve (12) months following account termination or deletion for the purposes of security monitoring, fraud prevention, abuse detection, legal compliance, and enforcement of these Terms.
serveyou.ai LLC is not responsible for any loss, damage, or liability arising from the deactivation of Deployed Applications or AI agents upon termination, including but not limited to disruption to End-Users, loss of End-User Data that you failed to export, or failed communications.
All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, indemnification obligations, payment obligations (including carrier fine pass-through charges, negative balances, and amounts owed to serveyou.ai LLC), limitations of liability, disclaimers of warranties, assumption of risk, and dispute resolution provisions.

Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in Santa Clara County, California, under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). The arbitrator shall have the authority to award the same damages and relief that a court could award under applicable law. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver: You and serveyou.ai LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive the right to participate in a class action, class arbitration, or any other representative proceeding.

Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court.

Arbitration Fees: serveyou.ai LLC will pay all arbitration filing fees, administration fees, and arbitrator fees for claims of $10,000 or less. For claims exceeding $10,000, filing fees and costs shall be allocated in accordance with AAA rules. Each party shall bear its own attorneys' fees, except that either party may recover reasonable attorneys' fees and costs from the other party if the arbitrator determines that the other party's claim or defense was frivolous or brought in bad faith.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to customerservice@serveyou.ai within thirty (30) days of creating your account or, for existing users, within thirty (30) days of any update to this arbitration provision. Your notice must include your name, account email address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Santa Clara County, California.

Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of California. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location.

California Auto-Renewal Law

In compliance with California Business and Professions Code § 17600 et seq., we provide the following disclosures regarding our subscription services:

Auto-Renewal Terms: Our subscription plans (monthly and annual) automatically renew at the end of each billing period at the then-current subscription rate unless you cancel before the renewal date. Monthly plans renew every month; annual plans renew every 12 months. These terms are presented to you during the checkout process.

Cancellation: You may cancel your subscription at any time through the subscription management link in your account settings, which connects to our payment processor's (Stripe) subscription portal. You may also cancel by contacting customerservice@serveyou.ai. Cancellation takes effect at the end of the current billing period — you will retain access to paid features until the end of the period you have already paid for. No partial refunds are provided for unused time within a billing period.

Consent: By completing the checkout process and subscribing to a paid plan, you provide your affirmative consent to the auto-renewal terms described above.

Service Level Agreement

serveyou.ai LLC provides a Service Level Agreement ("SLA") that describes our uptime targets, how downtime is measured, and the service credit process. The SLA is available at https://serveyou.ai/sla and is incorporated herein by reference. The Platform is currently in its Beta Period (as defined in the SLA). During the Beta Period, no uptime targets or service credits apply. Upon the conclusion of the Beta Period, the SLA's uptime targets and service credit provisions will take effect for Core Platform Services as defined therein. Even after the Beta Period ends, the SLA does not apply to features designated as beta, preview, or in-development, new feature development, scheduled maintenance, or Third-Party Integration availability.

Accessibility

serveyou.ai LLC is committed to improving the accessibility of the Platform over time. We currently provide customizable theme options to accommodate user preferences. While we do not currently certify conformance with any specific WCAG level, we are working to identify and address accessibility barriers in the Platform dashboard and management interface. If you encounter accessibility issues, please contact us at customerservice@serveyou.ai so we can work to address them.

Force Majeure

serveyou.ai LLC shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of third-party service providers (including AI model providers, telecommunications providers, and cloud infrastructure providers), cyberattacks, or government actions.

Entire Agreement

These Terms of Service, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, Data Processing Agreement, and any other policies or agreements referenced herein, constitute the entire agreement between you and serveyou.ai LLC with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and serveyou.ai LLC with respect to the Services.
